1. Acceptance of Terms
By engaging with adapterOS services, accessing this website, or using any adapterOS system, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service. If you are acting on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.
If you do not agree to these Terms, do not use our services.
2. Description of Service
adapterOS is a managed AI system deployed on dedicated hardware inside your facility. The service includes hardware procurement, configuration, installation, data preparation, and ongoing managed support.
3. License and Access
Subject to your compliance with these Terms and any applicable deployment agreement, we grant you a limited, non-exclusive, non-transferable license to use the adapterOS system on hardware deployed at your facility, solely for your internal business purposes.
Restrictions
You may NOT:
- Copy, modify, distribute, sell, or sublicense the software
- Reverse engineer, decompile, or attempt to derive source code
- Remove or alter proprietary notices or marks
- Use the system to develop a competing product
- Transfer or relocate the system without authorization
4. Customer Responsibilities
Facility Requirements
You are responsible for providing a suitable physical environment for the hardware, including adequate space, power, cooling, and network connectivity as specified in the deployment plan.
Physical Security
You are responsible for physical security of the deployed hardware within your facility, including access controls consistent with your organizational security policies.
Data and Compliance
You are responsible for ensuring your use of the system complies with applicable laws, regulations, and organizational policies. You control what data is processed by the system within your facility.
5. Intellectual Property
Our System
adapterOS, including its software, design, and documentation, is our exclusive property protected by intellectual property laws. Patent applications have been filed. All rights not expressly granted are reserved.
Your Data
You retain full ownership of all data processed by the adapterOS system within your facility. We claim no ownership rights over your data, outputs, or operational records.
6. Disclaimer of Warranties
Except as expressly provided in a deployment agreement, adapterOS is provided on an "as is" and "as available" basis, without warranties of any kind, either express or implied. We disclaim all warranties including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
AI systems may produce unexpected or inaccurate outputs. We make no representations regarding the accuracy or suitability of system outputs for any particular purpose.
7. Limitation of Liability
To the maximum extent permitted by law, we shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of data, loss of profits, or business interruption, whether based on warranty, contract, tort, or any other legal theory.
Our total aggregate liability shall not exceed the amount you paid for the service in the twelve months preceding the claim, or one hundred U.S. dollars ($100), whichever is greater.
8. Indemnification
You agree to indemnify, defend, and hold harmless MLNavigator from any claims, damages, losses, or expenses arising from your use or misuse of the system, violation of these Terms, infringement of third-party rights, or data and outputs processed by the system within your facility.
9. Termination
Either party may terminate the service according to the terms of the deployment agreement. We may suspend service immediately if you breach these Terms.

10. Changes to Terms
We may modify these Terms at any time. Material changes will be communicated to active deployment customers in writing. Your continued use after changes take effect constitutes acceptance.
11. Governing Law
These Terms shall be governed by the laws of the State of Delaware, United States. You agree to submit to the exclusive jurisdiction of state and federal courts in Delaware for disputes arising from these Terms.
