1. Acceptance of Terms

By engaging with adapterOS services, accessing this website, or using any adapterOS system, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service. If you are acting on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

If you do not agree to these Terms, do not use our services.

2. Description of Service

adapterOS is a managed AI system deployed inside an agreed customer-controlled environment. Depending on scope, the service may include hardware procurement, configuration, installation, data preparation, validation, benchmark review, and ongoing managed support.

Customer-Controlled Deployment: adapterOS is scoped so sensitive serving occurs inside the agreed customer-controlled boundary. The public website is not the route for customer operational data.

Managed Service: The service terms may include hardware, installation, configuration, validation, benchmark review, and ongoing maintenance and support. Specific service terms are defined in individual deployment agreements.

Current Status: adapterOS is currently available through qualified pilot deployments. Features and availability are subject to change.

3. License and Access

Subject to your compliance with these Terms and any applicable deployment agreement, we grant you a limited, non-exclusive, non-transferable license to use the adapterOS system in the agreed deployment environment, solely for your internal business purposes.

Restrictions

You may NOT:

Copy, modify, distribute, sell, or sublicense the software
Reverse engineer, decompile, or attempt to derive source code
Remove or alter proprietary notices or marks
Use the system to develop a competing product
Transfer or relocate the system without authorization

4. Customer Responsibilities

Facility RequirementsYou are responsible for providing a suitable physical environment for the hardware, including adequate space, power, cooling, and network connectivity as specified in the deployment plan.

Physical SecurityYou are responsible for physical security of the deployed hardware within your facility, including access controls consistent with your organizational security policies.

Data and ComplianceYou are responsible for ensuring your use of the system complies with applicable laws, regulations, and organizational policies. You control what data is processed by the system within your facility.

5. Intellectual Property

Our System

adapterOS, including its software, design, and documentation, is our exclusive property protected by applicable intellectual property laws. All rights not expressly granted are reserved.

Your Data

You retain full ownership of all data processed by the adapterOS system inside the agreed deployment environment. We claim no ownership rights over your data, outputs, or operational records.

6. Disclaimer of Warranties

Except as expressly provided in a deployment agreement, adapterOS is provided on an "as is" and "as available" basis, without warranties of any kind, either express or implied. We disclaim all warranties including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

AI systems may produce unexpected or inaccurate outputs. We make no representations regarding the accuracy or suitability of system outputs for any particular purpose.

7. Limitation of Liability

To the maximum extent permitted by law, we shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of data, loss of profits, or business interruption, whether based on warranty, contract, tort, or any other legal theory.

Our total aggregate liability shall not exceed the amount you paid for the service in the twelve months preceding the claim.

8. Indemnification

You agree to indemnify, defend, and hold harmless MLNavigator from any claims, damages, losses, or expenses arising from your use or misuse of the system, violation of these Terms, infringement of third-party rights, or data and outputs processed by the system within your facility.

9. Termination

Either party may terminate the service according to the terms of the deployment agreement. We may suspend service immediately if you breach these Terms.

What happens at termination

Your data: All data remains on hardware within your facility. We do not retain copies.

Hardware: Hardware disposition (return, purchase, or decommission) is defined in the deployment agreement.

Artifact export: Operational records and audit artifacts can be exported before service ends.

Support sunset: Maintenance and support end at termination. A transition period is defined in the deployment agreement.

10. Changes to Terms

We may modify these Terms at any time. Material changes will be communicated to active deployment customers in writing. Your continued use after changes take effect constitutes acceptance.

11. Governing Law

These Terms shall be governed by the laws of the State of Delaware, United States. You agree to submit to the exclusive jurisdiction of state and federal courts in Delaware for disputes arising from these Terms.
